First Assignment Spring 2015

Agency, Partnership, and Limited Liability Associations

LAW 691 Section 01

Candice S. Hoke

Assignment details

Welcome to the introductory course in business law-- Agency, Partnerships and LLCs. More new businesses (and many large, respected older ones) are choosing to organize (or re-organize) under the rules of one of the options we cover in this course rather than choose the corporate form. So this course isn't just a review of old, settled legal principles -- mastery of which most State Bar Exams require -- but also provides an introduction to some of the most challenging areas of current business governance law.

Let's start out with some fun. Although we won't be discussing it on the first day, you will be required to watch and analyze the film Trading Places to determine some complex agency relationships. I suggest that you add it to your holiday fare, and watch it once soon, before I distribute the assignment and then again after you have the basics of agency law under your belt so you can complete the written assignment. Warning, it includes frontal nudity and an excess of coarse, vulgar swearing. So if these points might bother you, keep your remote in hand and fast-forward through them. Dan Ackroyd, Eddie Murphy, and Jamie Lee Curtis star. (If that fast-forward option doesn't appeal, be sure to send me email to request a substitute film-- s.hokenull@csuohio.nulledu ).

There will be some short supplemental reading -- yes, a case -- that I will send out prior to our first class, so be sure you are officially enrolled so that you will be on the email list for course materials. Please be sure to be present for the first classes as I will be laying important foundations for the balance of the course.

Looking forward to meeting you-- Professor Hoke
